2023 WINTER RAFFLE 
Dates: February 1, 2023 – February 27, 2023
OFFICIAL RULES
NO PURCHASE NECESSARY TO ENTER OR WIN.

1.Sponsor & Administrator: Subway Cares Foundation Inc, with its principal place of business at 325 Sub Way, Milford, CT 06461 (“Sponsor”) shall serve as the Sponsor and Administrator of this Subway Cares Foundation® 2023 Winter Raffle (the “Raffle”). The Coca-Cola Company and PepsiCo provided the Prizes (the “Prize Provider(s)”). 

2.Eligibility: In order to qualify to participate in the Raffle, each eligible entrant must be 21 years of age or older, a legal resident of the United States, and be a current employee of Franchise World Headquarters, LLC, Subway® Franchisee, Subway® Business Developer, Subway® Franchisee staff or Sandwich Artist®, or Subway® Business Developer staff during the Program Period (“Eligible Entrant(s)”). Eligible Entrants may be referred to as “Participant(s)”. 

3.Program Period: The Program will begin at 12:01 a.m. EST on February 1, 2023 and end at 11:59 p.m. EST on February 28, 2023 (“Program Period”).

4.Entry: To enter with a suggested minimum donation, an Eligible Entrant can go to  Subway Cares Foundation Winter Raffle (ejoinme.org)and make a suggested donation of one hundred dollars ($100). Participants can also enter with a suggested minimum donation of one hundred dollars  ($100) at the Winter Development Meeting in Hollywood, Florida, February 20 – 24, 2023. Participants will receive one (1) entry into the Raffle for each one hundred dollar ($100) donation they make. Eligible Entrants may also enter without making a donation. A donation is not required to enter the Raffle or to win a Prize. See ‘No Purchase Necessary Method of Entry’ paragraph below for information. Any amount donated above a given $100 increment will not count towards an entry and cannot be combined with other incremental donations (for example, if $350 is donated, the Eligible Entrant will receive 3 entries. The additional $50 above the $300 will not count towards an entry and cannot be combined with other donation amounts later to add up to $100).

No Purchase Necessary Method of Entry: To enter without making a donation, an Eligible Entrant must send a note via post with their full name, postal address, and email address to: Subway c/o Crystal Balladares, 1000 NW 57th Ct. Miami, FL 33126. Postal entries must be received by the Program Period end date of February 27, 2023.

5.Prize: There are two (2) prizes (the “Prize(s)”) available to be won:

The Grand Prize (the “Grand Prize”) consists of:
a.Two (2) tickets to both of the NCAA Final Four Semifinal Games in Houston, TX on April 1, 2023:
b.Two (2) tickets to the NCAA Finals in Houston, TX on April 3, 2023;
c.Two (2) round-trip airfare tickets from a domestic U.S. airport to Houston, TX; and
d.One (1) double occupancy room accommodation for four (4) nights in Houston, TX.
The total ARV of the Grand Prize is: $12,000.
The Second Place Prize (the “Second Prize”) consists of:
a.Two (2) tickets to the NFL Draft in Kansas City, MO on April 27, 2023;
b.Two (2) tickets to the NFL Draft Eve Party in Kansas City, MO on April 26, 2023;
c.Two (2) round-trip airfare tickets from a domestic U.S. airport to Kansas City, MO; and
d.One (1) double occupancy room accommodation for three (3) nights in Kansas City, MO.
The total ARV of the Second Prize is: $9,000.
Prize Details and Conditions: Airfare is for round-trip economy class air transportation between domestic U.S. airport (in Sponsor’s sole discretion) nearest winner's home and Houston, TX (for the Grand Prize) and Kansas City, MO (for the Second Prize), or nearest airport, in Sponsor’s sole discretion. Travel must occur on dates specified by Sponsor surrounding the NCAA Final Four Games for the Grand Prize (March 31, 2023 – April 3, 2023) and dates specified by Sponsor surrounding the NFL Draft for the Second Prize (April 25, 2023 – April 28, 2023). Ground transportation to/from each airport and hotel not included. The actual retail value of either Prize may vary depending on winner’s city of departure and any difference in value will not be awarded. Airline carrier's regulations and conditions apply. Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Winner and travel companion must travel together on the same itinerary. All travelers must have valid travel documents prior to departure (i.e., REAL ID, passport or other TSA-approved ID; visit www.tsa.gov for a list of TSA-approved IDs). Travel companion must complete a Release of Liability prior to departure. If the travel companion is a minor, the winner must be his/her parent or legal guardian who will be required to sign the Release of Liability on behalf of minor. Failure to obtain required travel documents by winner and travel companion may result in forfeiture of Prize and alternate potential winner selection, time permitting, by random drawing from among all remaining eligible entries. All other expenses and costs, not expressly listed above, including, but not limited to, taxes, insurance, telephone charges, room service and laundry services, personal expenses, gratuities, entertainment, transfers, incidental charges, ground transportation, or any other items not specifically described in these Official Rules, any transportation not mentioned within the above Prize descriptions and all expenses for any of the foregoing are the sole responsibility of the winner. Sponsor reserves the right to award ground transportation in lieu of air transportation if winner resides within one hundred fifty (150) miles of Houston, TX (for the Grand Prize) or one hundred fifty (150) miles of Kansas City, MO (for the Second Prize) and any difference in value will not be awarded. Seat locations at the NCAA games shall be determined in the sole discretion of Sponsor.  Sponsor, the NCAA (in regard to the NCAA Games), and the NFL (in regard to the NFL Draft) reserve the right to remove or to deny entry to a winner and/or his/her travel companion who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at any of the NCAA Games included in the Grand Prize or at the NFL Draft or NFL Draft Eve Party included in the Second Prize.  No transfer, substitution, resale or cash equivalent for Prize (or portion thereof) will be permitted, except at the sole discretion of the Sponsor due to Prize unavailability for any reason, including but not limited to, cancellation of any or all of the NCAA Games included in the Grand Prize, cancellation of the NFL Draft and/or NFL Draft Eve Party included in the Second Prize, scheduling conflicts, pandemics; and, in such circumstance, an alternate prize/prize component of equal value will be awarded and the Sponsor's obligation to the winner will be fulfilled, and no other additional compensation will be provided. No responsibility or liability is assumed for damages, losses or injury resulting from acceptance or use of Prize (or portion thereof). Winner and travel companion must also pass any required medical testing and comply with any additional requirements, at any time, that may be required or recommended by any government agency, venue, or Sponsor, including without limitation, passing one or more COVID-19 antigen and screening tests, and testing negative for COVID-19 or having been vaccinated against COVID-19. Winner and any travel companion may also be required to execute any assumption of risk and/or other documents relating to COVID-19. All federal, state and local taxes are the sole responsibility of the winner.

6.Selection & Notice of Winners: There will be two (2) winners selected by random drawing (the “Potential Winner(s)”) from among all eligible entries on or about March 2, 2023 at 9:00am EST in Miami, FL. The first entry to be selected will be the Potential Winner of the Grand Prize. The second entry to be selected will be the Potential Winner of the Second Prize. Each Potential Winner will be notified by email by a member of the Subway® team if they have been selected as a Potential Winner. Potential Winner must respond to email notification within one week. Failure to respond will result in forfeiture of Prize. Sponsor reserves the right to select an alternate Potential Winner by random drawing from all remaining eligible entries if the original Potential Winner fails to respond.

7.Conditions: The following includes important conditions to winning a Prize:
a.If a Potential Winner is not able to accept a Prize, or if the Sponsor is unable to contact the Potential Winner via the email address provided at the time of entry, the Potential Winner will forfeit the Prize and the Sponsor will randomly draw an alternate Potential Winner of that Prize from the remaining eligible entries. 
b.No transfer, substitution, or division of a Prize is allowed. 
c.Acceptance of a Prize constitutes permission by the winner to Sponsor and its designees to use said winner’s name and/or likeness for purposes of advertising and trade without further compensation, in perpetuity and in any and all media now known or hereafter discovered, unless prohibited by law. 
d.Decisions of Sponsor are final with respect to determination of winners. Sponsor is not responsible for errors in calculations or for technical system or other errors in sales reporting of any kind. Sponsor, Doctor’s Associates, LLC, Franchise World Headquarters, LLC, Subway IP LLC, and each of their respective affiliated entities, affiliates, subsidiaries, parent corporations, and their respective officers, directors, shareholders, employees, independent franchisees, and agents are not responsible for any incorrect or inaccurate entry information, printing, or other errors. 
e.Sponsor reserves the right to modify, suspend, or terminate this Raffle in the event that it becomes necessary due to circumstances beyond its control, as further detailed below. 
f.By participating in this Raffle, Participants agree to be bound by these Official Rules. 
g.A Participant may be disqualified from participating in this Raffle and/or winning a Prize for cheating or other bad faith acts, as determined in the sole discretion of Sponsor. 
h.All federal, state, local tax liabilities and any applicable fees associated with accepting a Prize or participation in this Raffle are the sole responsibility of the respective winner of the Prize. 

8.Release: By participating in this Raffle, Participants agree to release, discharge, indemnify, and hold harmless Sponsor, Doctor’s Associates, LLC, Franchise World Headquarters, LLC, Subway IP LLC, Subway® Restaurants, and each of their respective affiliates, subsidiaries, and their respective officers, directors, employees, representatives, agents, and independent franchisees (collectively, “Released Parties”), from and against any and all claims and liability arising out of or relating to this Raffle. Participants assume all liability for any injury or damage caused or claimed to be caused by participation in this Raffle or use or redemption of any Prize or portion thereof. 

9.Modifications to Program: By participating in this Raffle, Participants agree to abide by these Official Rules as stated herein and the decisions of Sponsor, which are final and binding in all matters relating to the Raffle. Sponsor reserves the right in its sole and absolute discretion to cancel, modify, or suspend the Raffle or amend these Official Rules at any time, without prior individual notice, if any factor interferes with the proper administration of the Raffle, as determined by Sponsor in its sole and absolute discretion. Such factors may include but are not limited to fraud, technical failures, including any network server or hardware failure, or any other errors or other causes that corrupt the administration, security, or integrity of the Raffle. In the event of early termination, Sponsor reserves the right to conduct random draws from all eligible entries by the date of cancellation.

10.Disputes:  Except where prohibited, by participating in the Raffle, Participants agree that the Raffle is governed by, and will be construed in accordance with, the laws of the State of Connecticut, and the forum and venue for any dispute shall be in Bridgeport, Connecticut.  If the controversy or claim is not otherwise resolved through direct discussions or mediation, it shall then be resolved by final and binding arbitration administered by the American Arbitration Association, in accordance with its Arbitration Rules and Procedures or subsequent versions thereof (“AAA Rules”).  The AAA Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be experienced and licensed to practice law in the State of Connecticut.  The remedy for any claim shall be limited to actual damages, and in no event shall a Participant or any other party be entitled to recover punitive, exemplary, special, incidental, indirect and consequential damages or any other damages (whether due to negligence or otherwise), other than for actual out-of-pocket costs described in this Section, nor will a Participant or any related party be entitled to have damages multiplied or otherwise increased or to rescind this agreement or seek injunctive or any other equitable relief.  Participants agree that the statute of limitations for asserting any claims shall be a period of one (1) year from the end date of the Program Period. Participants agree that any and all disputes, claims, and causes of actions arising out of or connected with the Raffle or any prize awarded shall be resolved individually, without resort to any form of class action.

11.Construction/Severability: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any Participant and/or Sponsor shall be governed by and construed in accordance with the laws of the State of Connecticut without reference to conflict of laws principles. If any provision or provisions of these Official Rules shall be held to be invalid, illegal, unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

12.Winners List: All requests for a list of Winners should be directed to Sponsor by sending a self-addressed, stamped envelope to: Franchise World Headquarters, LLC. 325 Sub Way, Milford CT 06461.  The Winners list will be available for six (6) months after the close of the Program.

13.Privacy / Use of Personal Information: 

By participating in the Raffle, Participant hereby consents to Sponsor’s or authorized agents’ collection, use, and disclosure of Participant’s personal information for the purposes of administering the Raffle and prize fulfillment. Participant acknowledges that he/she has read, understood and accepted the Sponsor’s Privacy Statement, which provides more information about Sponsor’s privacy practices and is located at https://www.subway.com/en-us/privacy/general-notice.

By accepting a prize, winner agrees to Sponsor's use of his/her name, city/province of residence, picture, biographical information, statements, voice, and likeness in any advertising and publicity Sponsor and its respective successors, assigns and licensees may conduct relating to the Raffle in any media or format, whether now known or hereafter developed, including but not limited to the Internet, at any time or times in perpetuity, without further compensation or notice, except where prohibited by law, and hereby releases Released Parties from any liability with respect thereto. Winner may be required to sign a further release regarding the grant of these publicity rights.
